SUPACASH TERMS OF USE

1. INTRODUCTION

Welcome to Supacash.

These Terms of Use (“Terms”) govern your access to and use of the Supacash platform, including all mobile applications, websites, APIs, wallets, payment tools, savings products, rewards systems, social features, community features, merchant tools, and related services operated by Supa Simple Limited (“Supacash”, “we”, “our”, or “us”).

By accessing or using the Supacash platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, Community Guidelines, Rewards Terms, and any additional policies referenced herein.

If you do not agree with these Terms, you must not use the platform.

2. IMPORTANT REGULATORY NOTICE

Supacash is a technology platform and is not a bank, payment service bank, deposit-taking institution, investment company, or licensed financial institution.

Financial services available through the platform are provided in partnership with licensed financial institutions, payment processors, cooperative structures, and regulated service providers.

Customer funds are processed, administered, or held through regulated Banking Partners and other licensed financial infrastructure providers.

Nothing on the platform shall be interpreted as financial, investment, tax, or legal advice.

3. DEFINITIONS

In these Terms:

  • “Platform” means the Supacash website, mobile applications, APIs, systems, and related services.
  • “Wallet” means the digital wallet provided through the platform.
  • “Banking Partners” means regulated financial institutions and payment infrastructure providers integrated with Supacash.
  • “Goal” means a savings target or arrangement created through the platform.
  • “Group Wallet” means a wallet shared among multiple users.
  • “Cooperative” means Supacash Multipurpose Cooperative Society Limited.
  • “User Content” means all information, images, content, comments, usernames, goals, or activities uploaded or displayed by users.
  • “Rewards” means bonuses, cashback, incentives, referral rewards, promotions, or campaign benefits.
  • “Promoter” means any partner, agency, or brand conducting a promotional activity through the platform.

4. ELIGIBILITY

To activate a wallet or use regulated financial features on Supacash, you must:

  • be at least 18 years old;
  • possess legal capacity under Nigerian law;
  • provide accurate and complete information;
  • comply with all applicable laws and regulations.

Users below 18 years may only access limited non-regulated features where permitted.

Where minors participate in Group Wallets or community features, the designated administrators or guardians accept full responsibility for activities conducted through such participation.

Supacash reserves the right to deny, suspend, or terminate access where eligibility requirements are not satisfied.

5. ACCOUNT REGISTRATION AND SECURITY

Users are responsible for:

  • maintaining accurate account information;
  • safeguarding passwords, PINs, OTPs, and authentication credentials;
  • securing devices connected to their accounts;
  • promptly notifying Supacash of unauthorised access.

Users must not:

  • share account credentials;
  • impersonate another person;
  • create fraudulent accounts;
  • manipulate verification systems.

Supacash shall not be liable for losses resulting from:

  • user negligence;
  • compromised devices;
  • SIM swaps;
  • phishing attacks;
  • malware;
  • disclosure of login credentials;
  • unauthorised access caused by user actions or omissions.

Supacash may implement device monitoring, behavioural analysis, fraud detection systems, session monitoring, IP tracking, and related security measures for compliance and fraud prevention purposes.

6. BANKING, PAYMENTS, AND WALLET SERVICES

Supacash provides technology infrastructure enabling access to wallet and payment-related services through licensed Banking Partners.

Wallet balances may be reflected through pooled or partner-managed accounts maintained by Banking Partners.

Users may be assigned virtual account numbers through integrated financial institutions.

Transfers, deposits, withdrawals, payouts, collections, and related financial services are processed by Banking Partners and licensed payment infrastructure providers.

Supacash does not guarantee uninterrupted availability of financial services and shall not be liable for delays or failures caused by:

  • banking systems;
  • payment switches;
  • telecommunications providers;
  • internet disruptions;
  • cloud infrastructure outages;
  • regulatory restrictions;
  • third-party providers.

Funds transferred into user accounts may remain subject to:

  • verification;
  • compliance review;
  • fraud screening;
  • settlement timelines.

7. GOALS, SAVINGS, AND COOPERATIVE PARTICIPATION

Users who create a Goal may become members of Supacash Multipurpose Cooperative Society Limited for purposes relating to eligible savings products.

Savings products may include:

  • fixed savings;
  • locked savings;
  • contribution savings;
  • shared savings goals;
  • support-based goals;
  • reward-linked savings.

Applicable rates, restrictions, lock periods, earnings structures, withdrawal conditions, and promotional conditions shall be disclosed before participation.

Savings and earnings-related services administered through the Cooperative may operate under separate governance, operational, or compliance structures distinct from the Supacash technology platform.

Supacash reserves the right to:

  • modify savings products;
  • suspend Goals;
  • discontinue savings features;
  • revise future earnings structures;
  • restrict participation where required.

Early withdrawal from locked arrangements may result in:

  • forfeiture of earnings;
  • cancellation of promotional benefits;
  • applicable administrative restrictions.

8. SOCIAL FEATURES AND COMMUNITY ENGAGEMENT

Supacash may provide social and community features including:

  • public goals;
  • supporter visibility;
  • generosity statistics;
  • achievement badges;
  • profile visibility;
  • social activity feeds.

Users are responsible for all User Content shared through the platform.

Users must not:

  • publish misleading content;
  • engage in deceptive fundraising;
  • harass other users;
  • exploit minors;
  • manipulate rewards;
  • spread unlawful content;
  • compromise platform integrity.

Depending on privacy settings, certain profile information or activities may be publicly visible.

Supacash reserves the right to:

  • remove content;
  • suspend users;
  • restrict visibility;
  • terminate accounts;
  • report unlawful activity to authorities.

9. GROUP WALLETS

Group Wallets may be managed by one or more administrators.

Administrators may possess authority to:

  • add or remove members;
  • manage permissions;
  • approve transactions;
  • withdraw or transfer funds;
  • modify wallet structures.

By participating in a Group Wallet, users acknowledge and accept the risks associated with shared wallet participation.

Supacash acts solely as a technology facilitator for Group Wallets and shall not be liable for:

  • disputes among participants;
  • unauthorised withdrawals by administrators;
  • contributor disagreements;
  • misappropriation of funds;
  • unmet contribution expectations.

Users participate in Group Wallets at their own discretion and risk.

10. BUSINESS ACCOUNTS

Businesses using Supacash agree that:

  • all business information supplied is accurate;
  • transactions conducted are lawful;
  • authorised representatives possess authority to act;
  • all tax and regulatory obligations remain the responsibility of the business.

Supacash may request:

  • CAC documentation;
  • director identification;
  • proof of address;
  • tax information;
  • business licences;
  • additional compliance documents.

Supacash reserves the right to restrict certain industries, transactions, or business categories for operational, regulatory, or risk-management reasons.

11. FEES, CHARGES, AND TAXES

Applicable fees may be disclosed before transactions are completed.

By using the platform, users authorise Supacash and its partners to deduct:

  • transaction fees;
  • service charges;
  • applicable taxes;
  • recovery amounts;
  • compliance-related deductions.

Promotional pricing or subsidised services may be modified or withdrawn at any time.

12. REWARDS, PROMOTIONS, AND CAMPAIGNS

Supacash may offer:

  • cashback;
  • bonuses;
  • referral rewards;
  • loyalty benefits;
  • campaigns;
  • promotional incentives.

Eligibility requirements may apply.

Users must not:

  • create multiple fraudulent accounts;
  • exploit loopholes;
  • manipulate reward systems;
  • abuse promotions.

Supacash reserves the right to:

  • reverse improperly obtained rewards;
  • cancel promotions;
  • suspend abusive users;
  • recover promotional credits.

Promotional campaigns conducted by third-party brands, agencies, or sponsors through Supacash remain the responsibility of the relevant promoter.

Unless expressly stated otherwise, Supacash acts solely as a technology service provider in relation to partner-led promotions.

13. VERIFICATION, KYC, AML & COMPLIANCE

Supacash may request and process:

  • BVN;
  • NIN;
  • selfies;
  • biometric authentication;
  • facial verification;
  • transaction records;
  • device information;
  • IP addresses;
  • non-precise location information.

Supacash may:

  • restrict accounts;
  • delay transactions;
  • freeze wallets;
  • request enhanced verification;
  • report suspicious activities.

Users must not use the platform for:

  • fraud;
  • scams;
  • terrorism financing;
  • unlawful fundraising;
  • impersonation;
  • prohibited gambling activities;
  • money laundering;
  • illegal activities.

14. REVERSALS, RECOVERY, AND ACCOUNT RESTRICTIONS

Users are responsible for confirming transaction details before authorising transfers.

Supacash reserves the right to:

  • freeze;
  • debit;
  • reverse;
  • recover;
  • offset;
  • withhold funds;
  • restrict wallets;
  • suspend transactions

where:

  • duplicate credits occur;
  • fraud is suspected;
  • chargebacks arise;
  • system abuse is detected;
  • erroneous transactions occur;
  • legal or regulatory directives apply.

Users agree to cooperate fully with recovery procedures.

Dormant accounts may be subjected to additional verification or restrictions before reactivation.

15. INTELLECTUAL PROPERTY

All intellectual property rights relating to the platform remain the exclusive property of Supa Simple Limited.

This includes:

  • software;
  • APIs;
  • trademarks;
  • logos;
  • MINT systems;
  • source code;
  • designs;
  • graphics;
  • algorithms;
  • platform content.

Users may not:

  • reverse engineer;
  • copy;
  • distribute;
  • modify;
  • commercially exploit;
  • reproduce any part of the platform

without prior written consent.

16. PRIVACY AND DATA PROTECTION

User data shall be processed in accordance with the Supacash Privacy Policy and applicable Nigerian data protection laws.

Users consent to the collection, storage, processing, analysis, and sharing of personal data where necessary for:

  • service delivery;
  • fraud prevention;
  • legal compliance;
  • customer support;
  • platform optimisation.

Supacash uses reasonable security safeguards but does not guarantee absolute security of electronic systems.

17. FORCE MAJEURE

Supacash shall not be liable for delays, interruptions, failures, or inability to provide services caused by events beyond its reasonable control including:

  • power outages;
  • internet failures;
  • cyberattacks;
  • banking infrastructure downtime;
  • acts of government;
  • natural disasters;
  • strikes;
  • telecommunications disruptions;
  • war;
  • civil unrest.

18. LIMITATION OF LIABILITY

To the maximum extent permitted under applicable law, Supacash shall not be liable for:

  • indirect damages;
  • consequential damages;
  • loss of profits;
  • reputational harm;
  • business interruption;
  • data loss;
  • disputes between users;
  • third-party failures.

Nothing in these Terms excludes liability that cannot legally be excluded under Nigerian law.

Where liability arises, Supacash’s total aggregate liability shall not exceed the total fees paid by the affected user to Supacash during the three (3) months preceding the event giving rise to the claim.

19. USER INDEMNITY

Users agree to indemnify and hold Supacash harmless from claims, liabilities, losses, damages, regulatory penalties, and expenses arising from:

  • misuse of the platform;
  • violation of these Terms;
  • unlawful conduct;
  • infringement of third-party rights;
  • fraudulent activity linked to the user account.

20. ACCOUNT SUSPENSION AND TERMINATION

Supacash may suspend, restrict, freeze, or terminate access to the platform where:

  • required by law;
  • suspicious activity is identified;
  • false information is provided;
  • fraud or abuse is suspected;
  • platform security is threatened;
  • these Terms are violated.

Users may discontinue use of the platform at any time.

Certain rights and obligations shall survive termination.

21. DISPUTE RESOLUTION

Users should first contact Supacash support regarding complaints or disputes.

Where disputes remain unresolved, parties agree to attempt resolution through mediation or arbitration in Lagos State, Nigeria before commencing litigation except where urgent legal remedies are necessary.

The decision of the arbitrator shall be final and binding.

Users agree that disputes shall be resolved individually and not through class actions or representative proceedings.

These Terms shall be governed by the laws of the Federal Republic of Nigeria.

22. MODIFICATION OF SERVICES

Supacash reserves the right to:

  • redesign features;
  • modify services;
  • suspend functionalities;
  • discontinue products;
  • introduce new services

at any time for operational, compliance, security, technical, or commercial reasons.

23. CHANGES TO THESE TERMS

Supacash may update these Terms from time to time.

Material updates may be communicated through:

  • the app;
  • email;
  • website notifications;
  • SMS;
  • other communication channels.

Continued use of the platform after updates become effective constitutes acceptance of the revised Terms.
